12.1 Conexant will defend Specialtysemi at its expense, Are indemnified and indemnified from all claims, actions, actions, losses, liabilities, judgments, expenses and expenses (including attorneys` fees and reasonable fees of other professionals) (a) arising out of a right of a person [***…] or (b) arising out of or related to personal injury (including death) or loss or damage to bodily property (excluding data or if such breach or damage is due to negligence or illegitimate misconduct of Conexant or its personnel.
